5.2 How to Earn Cashback:
• Membership and Active Participation: Users must subscribe to a membership plan on our platform and actively participate by posting content, following other members, and engaging in discussions.
• Legitimate Affiliations: Each user receives a unique affiliate link upon registration, which becomes active when a subscription is purchased. When a new user registers through this affiliate link and becomes an active user, the initial subscriber earns a commission in the form of cashback.
• Eligibility Requirements: The new user must be an active participant on the platform, meeting activity criteria. The referrer must also maintain regular activity on the platform.
• Calculation and Payment of Cashback: Cashback of 10% is calculated based on the subscription amount paid by the new user and is paid monthly, provided the eligibility requirements are met by both parties (referrer and referee).
5.3 Withdrawing Cashback:
To withdraw accumulated cashback, the user must have a minimum balance of €10 on the platform. Cashback can be used on the platform or withdrawn through a dedicated PayPal or Stripe account, in compliance with applicable financial regulations.
6. Privacy Protection
6.1 ZI-CHAT ensures that all personal data collected, including identification documents and payment information, is processed in compliance with the General Data Protection Regulation (GDPR) of the European Union.
6.2 The collection of identification documents during registration is used to verify users' identities, reducing the risk of fraud and ensuring the legitimacy of account ownership. 10. Strategic Partnerships and Events
10.1 ZI-CHAT establishes transparent partnerships with luxury brands, tech companies, and services like Uber Eats, in accordance with European laws on competition and fair business practices.
10.2 Exclusive music events and goodies are offered to premium subscribers, in compliance with European Union guidelines on promotion and advertising.
11. Liability and Warranties
11.1 ZI-CHAT strives to ensure the availability and quality of its services. However, ZI-CHAT cannot be held liable for temporary interruptions or data loss.
11.2 You use the platform at your own risk. ZI-CHAT disclaims all liability for any direct or indirect damages resulting from the use of the platform.
12.Modification of the Terms of Use
12.1 ZI-CHAT reserves the right to modify these Terms of Use at any time. Changes will take effect upon their publication on the website.

If no amicable solution is found, the parties may resort to mediation in accordance with applicable laws. Failing that, the competent courts will be those within the jurisdiction of Paris.
21. Affiliations and Commission Based on Sales or Activities
ZI-CHAT's model is based on legitimate affiliations where users earn commissions (cashback) by inviting new members to subscribe to a membership plan and actively participate. This approach rewards users for their actual activity and the value they bring to the platform, rather than merely recruiting new members without substantial engagement.
22.No Primary Dependence on Recruitment
Zi-Chat operates on a "proof of work" model, where users must actively participate to earn commissions. They need to not only invite new members but also encourage them to contribute content, interact with the community, and meet the defined criteria for being considered active. This distinguishes it from pyramid or Ponzi schemes, where earnings primarily depend on recruiting new members without any real activity.
23.Transparency and Compliance
ZI-CHAT's Terms of Use clearly outline the membership conditions, participation criteria for new users, and the precise rules for calculating and distributing cashback. No entry fees are required to participate in the cashback program, and there is no obligation to recruit others to simply join the platform. All activities are conducted in compliance with European and international laws, particularly regarding consumer protection and personal data processing in accordance with the EU's GDPR.

25. Partner Subscription Terms
25.1 Description ZI-CHAT offers partners access to and use of the full platform for a duration specified in the partnership agreement. The exact duration, included functionalities, and any other specific conditions are explicitly stated in the individual partnership contract.
25.2 Duration and Renewal The duration of the partner subscription is clearly specified in the partnership agreement. Upon expiration of this period, the subscription will not automatically renew unless explicitly stated in the contract. Partners wishing to renew their subscription must contact ZI-CHAT to negotiate new terms.
25.3 Terms of Use Partners agree to use ZI-CHAT in compliance with these General Terms of Use, applicable laws, and the specific terms outlined in their partnership agreement. Any misuse, violation of conditions, or infringement of platform policies may result in immediate termination of access.
25.4 Termination and Breach ZI-CHAT reserves the right to immediately terminate the partner subscription without prior notice if the partner violates any clause of these General Terms of Use or the partnership agreement, particularly including:
• Non-compliance with applicable laws
• Misuse or unauthorized use of platform services
• Failure to meet obligations or stipulated conditions
Upon termination, the partner must immediately cease all use of the platform. ZI-CHAT shall not be held liable for any losses or damages suffered by the partner due to this termination. In cases of severe abuse or violations, ZI-CHAT reserves the right to permanently delete the partner's account and blacklist them from the platform.
25.5 Early Termination Partners wishing to terminate their agreement before the specified end date must notify ZI-CHAT in writing. Conditions for early termination, including any financial obligations or penalties, are detailed in the individual partnership contract.
25.6 Liability and Indemnification Partners agree to indemnify and hold ZI-CHAT harmless from any claims, damages, or liabilities resulting from a breach of the General Terms of Use, misuse of the platform, or any illegal activities related to their partner subscription.
