1. Introduction

These Terms and Conditions of Sale (T&Cs) govern the contractual relationship between the company Zi-chat (hereinafter referred to as "the Company") and its customers in the context of the subscription plans offered by the Company. By subscribing to a plan, the customer unreservedly accepts these T&Cs.

2. Subscription Contract

2.1 Nature of the Contract: The subscriptions offered by the Company are automatically renewed. This means that the contract will automatically renew at its expiration without the need for explicit agreement from the concerned parties. To terminate the contract, the user must explicitly request its closure.

2.2 Notification: In accordance with the Chatel Law, the Company will inform the customer of the upcoming renewal of their subscription contract. This notification will be sent within a reasonable period before the renewal date.

3.Conditions for Referring

3.1 Paid Account: To be eligible for referral, the referrer must have an active paid subscription account.

3.2 Valid Account: The payment for the current month must be validated for the referrer to be considered eligible.

3.3 Affiliate Links: Affiliate links, in the form of text, through the dedicated invitation or QR code, are considered products. This means they must be acquired and used in accordance with the sales and usage conditions set by the Company. Users can generate revenue by sharing these links, provided that new registrations through these links are made by active users who meet the eligibility criteria.

4. Cashback Payment

4.1 Payment Date: Cashback is paid on the 25th of each month.

4.2 Continuity Condition: The referee must continue to pay their subscription for the referrer to receive the cashback.

5. New Referees

5.1 Registration before the 10th of the month (23:59:59): If the referee registers before the 10th of the month, the cashback will be included in the payment on the 25th of the same month.

5.2 Registration after the 10th of the month (23:59:59): If the referee registers after the 10th of the month, the cashback will be included in the payment on the 25th of the following month.

6. Cashback Calculation

Cashback Rate: The cashback rate is 10% of the referee's subscription price.

7. Termination Procedure

7.1 Right of Termination: The consumer has the right to terminate the contract at any time after renewal, often without charges, under certain conditions. The notice period may vary depending on the type of contract.

7.2 Termination Procedure: The termination procedure must be clearly outlined in the contract. In general, it can be done by registered mail, by phone, or sometimes even online.

8. Precautions to Take

8.1 Read the Terms and Conditions: Always read the terms and conditions carefully before subscribing to a plan.

8.2 Monitor Notifications: Pay attention to renewal notifications sent by the service provider.

8.3 Mark the Dates: Keep track of contract end dates and notice periods to ensure timely cancellation if needed.

9. Cashback Management Algorithm

The cashback management algorithm first checks the eligibility of the referrer by ensuring they have an active and valid paid subscription for the current month. Then, it determines whether the referees registered before or after the 10th of the month to decide if the cashback will be paid this month or the following month. If the referee continues to pay their subscription and remains active on the platform, the referrer will receive a 10% cashback calculated on the amount of the referee's subscription. The cashback payment is made on the 25th of each month, provided that the referrer is still eligible and the conditions are met.

10. Final Provisions

10.1 Modification of the T&Cs: The Company reserves the right to modify these T&Cs at any time. Customers will be notified of any changes via a notification on the website or by email.

10.2 Applicable Law: These T&Cs are governed by French law. Any dispute regarding their interpretation or enforcement will fall under the exclusive jurisdiction of French courts.
